New owner? Record it, or the paper trail breaks.
Whether you bought a company, restructured, or moved a brand between entities, the USPTO needs to know about it. And the paperwork has to be worded specifically enough to carry the goodwill with it. Otherwise, the registration can become unenforceable, and the value you paid for goes with it.
Three things have to be right. The assignment must transfer the goodwill of the business along with the mark, not the mark alone. It should say explicitly who gets to sue for infringement that already happened. And it must be recorded with the USPTO so the public record matches reality.
